End User License Agreement (EULA)

1. Agreement

This End User License Agreement ("EULA", "Agreement") is a legal agreement between you ("User", "you") and kingsaventure-byte ("Developer", "Licensor", "we", "us") for the use of Sci-pilot ("the Software").

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.

Subject to the terms of this Agreement, the Developer grants you a limited, non-exclusive, non-transferable, revocable license to:

No service level agreement (SLA) applies during the beta period. The Developer makes no commitments regarding availability, uptime, support response times, or bug fix timelines.

4.3 Feedback

Any feedback, suggestions, or bug reports you provide regarding the Software may be used by the Developer without obligation or compensation to you. You are not required to provide feedback.

By using Sci-pilot's autonomous agent features, you acknowledge and accept that:

Sci-pilot incorporates open-source software components, including but not limited to:

Open-source components are subject to their respective licenses, which may grant you additional rights (such as access to source code, modification rights, or redistribution rights) that this EULA does not restrict. In the event of a conflict between this EULA and an open-source license governing a specific component, the open-source license prevails for that component.

Source code for open-source components is available through their respective repositories. A list of dependencies and their licenses can be found in the Software's dependency manifest files.

7. Intellectual Property

7.1 Ownership

The Software, excluding open-source components, is the intellectual property of the Developer. This EULA does not transfer any ownership rights to you.

7.2 Your Content

You retain all rights to content you create, process, or generate using the Software. The Developer claims no ownership over your data, conversations, configurations, or outputs.

The Software requires API keys from third-party providers to function. These keys are:

Sci-pilot is not affiliated with, endorsed by, or sponsored by any third-party LLM provider (OpenAI, Anthropic, Google, etc.). Use of provider names is for identification purposes only.

9. Updates and Modifications

9.1 Updates

The Developer may release updates to the Software from time to time. Future versions may include automatic update functionality. You acknowledge that:

Updates may require changes to configuration files or settings. The Developer will make reasonable efforts to preserve backward compatibility but does not guarantee it.

10. No Warranty

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. THE DEVELOPER SPECIFICALLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

YOU ASSUME ALL RISK ASSOCIATED WITH THE USE OF THE SOFTWARE, INCLUDING RISKS ASSOCIATED WITH AUTONOMOUS AGENT OPERATIONS, TOOL EXECUTION, AND THIRD-PARTY SERVICE INTERACTIONS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE DEVELOPER BE LIABLE FOR:

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE) AND EVEN IF THE DEVELOPER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Termination

12.1 By You

You may terminate this Agreement at any time by uninstalling the Software and deleting all copies from your devices.

12.2 By the Developer

The Developer may terminate this Agreement if you breach any of its terms. Upon termination, you must cease all use of the Software and delete all copies.

12.3 Survival

The following sections survive termination: Section 5 (Autonomous Agent Acknowledgment), Section 7 (Intellectual Property), Section 10 (No Warranty), Section 11 (Limitation of Liability), and Section 13 (Governing Law).

13. Governing Law

This Agreement shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes arising under this Agreement shall be resolved in the courts of the jurisdiction in which the Developer resides.

14. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

This EULA, together with the Terms of Service, Privacy Policy, and any other legal documents referenced herein, constitutes the entire agreement between you and the Developer regarding the Software and supersedes all prior agreements and understandings.
