End User License Agreement (EULA)
1. Agreement
This End User License Agreement ("EULA", "Agreement") is a legal agreement between you ("User", "you") and kingsaventure-byte ("Developer", "Licensor", "we", "us") for the use of Sci-pilot ("the Software").
By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.
2. License Grant
2.1 Grant
Subject to the terms of this Agreement, the Developer grants you a limited, non-exclusive, non-transferable, revocable license to:
- Download, install, and use the Software on devices you own or control
- Use the Software for personal, educational, or commercial purposes
- Configure the Software with your own third-party API keys and integrations
2.2 Scope
This license applies to the compiled application and its bundled assets. Certain components of the Software may be licensed separately under open-source licenses (see Section 6).
3. Restrictions
You agree not to:
- Reverse engineer, decompile, or disassemble the Software, except to the extent permitted by applicable law or by open-source licenses governing specific components
- Modify, adapt, or create derivative works of the proprietary portions of the Software without written permission from the Developer
- Redistribute, sublicense, rent, lease, or lend the Software to third parties
- Remove or alter any proprietary notices, labels, or marks on the Software
- Use the Software to develop a competing product or service that replicates its core functionality
- Circumvent any technical protection measures or license verification mechanisms in the Software
- Misrepresent the origin of the Software or claim authorship of the Software or its substantial portions
4. Beta Software
4.1 Beta Status
Sci-pilot is currently designated as closed beta software. You acknowledge that:
- The Software is provided for testing and evaluation purposes
- The Software may contain errors, bugs, and incomplete features that could cause system instability, data loss, or unexpected behavior
- The Developer may release updates, patches, or new versions at any time without prior notice
- The beta designation may be removed or changed at the Developer's discretion
- Features available during the beta period may be modified, restricted, or removed in future versions
4.2 No Service Level Agreement
No service level agreement (SLA) applies during the beta period. The Developer makes no commitments regarding availability, uptime, support response times, or bug fix timelines.
4.3 Feedback
Any feedback, suggestions, or bug reports you provide regarding the Software may be used by the Developer without obligation or compensation to you. You are not required to provide feedback.
5. Autonomous Agent Acknowledgment
By using Sci-pilot's autonomous agent features, you acknowledge and accept that:
- The Software can execute commands, access files, run code, and interact with external services on your behalf
- You are solely responsible for configuring appropriate autonomy levels, permissions, and safety constraints
- The Developer is not liable for any actions performed by the autonomous agent, including but not limited to file modifications, command execution, API calls, or external service interactions
- You should monitor agent activity and maintain appropriate backups of important data
6. Open-Source Components
6.1 Acknowledgment
Sci-pilot incorporates open-source software components, including but not limited to:
- Tauri (MIT/Apache 2.0) — Desktop application framework
- Node.js ecosystem packages — Various open-source licenses
- ONNX Runtime — MIT License
- nomic-embed-text-v1.5 — Apache 2.0 License
- Model Context Protocol (MCP) SDK — Open-source
6.2 License Compliance
Open-source components are subject to their respective licenses, which may grant you additional rights (such as access to source code, modification rights, or redistribution rights) that this EULA does not restrict. In the event of a conflict between this EULA and an open-source license governing a specific component, the open-source license prevails for that component.
6.3 Source Availability
Source code for open-source components is available through their respective repositories. A list of dependencies and their licenses can be found in the Software's dependency manifest files.
7. Intellectual Property
7.1 Ownership
The Software, excluding open-source components, is the intellectual property of the Developer. This EULA does not transfer any ownership rights to you.
7.2 Your Content
You retain all rights to content you create, process, or generate using the Software. The Developer claims no ownership over your data, conversations, configurations, or outputs.
8. Third-Party Services
8.1 API Keys
The Software requires API keys from third-party providers to function. These keys are:
- Obtained by you directly from the respective providers
- Stored locally on your device
- Used to communicate directly with third-party APIs
- Subject to the terms and conditions of the respective providers
8.2 No Affiliation
Sci-pilot is not affiliated with, endorsed by, or sponsored by any third-party LLM provider (OpenAI, Anthropic, Google, etc.). Use of provider names is for identification purposes only.
9. Updates and Modifications
9.1 Updates
The Developer may release updates to the Software from time to time. Future versions may include automatic update functionality. You acknowledge that:
- Updates may modify, add, or remove features
- Continued use after an update constitutes acceptance of any changes
- You may choose not to update, but older versions may not be supported
9.2 Configuration Changes
Updates may require changes to configuration files or settings. The Developer will make reasonable efforts to preserve backward compatibility but does not guarantee it.
10. No Warranty
- IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
- WARRANTIES OF NON-INFRINGEMENT
- WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF AI-GENERATED CONTENT
- WARRANTIES THAT THE SOFTWARE WILL OPERATE WITHOUT INTERRUPTION OR ERROR
YOU ASSUME ALL RISK ASSOCIATED WITH THE USE OF THE SOFTWARE, INCLUDING RISKS ASSOCIATED WITH AUTONOMOUS AGENT OPERATIONS, TOOL EXECUTION, AND THIRD-PARTY SERVICE INTERACTIONS.
11. Limitation of Liability
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- ANY LOSS OF DATA, PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
- ANY DAMAGE TO YOUR SYSTEM OR FILES CAUSED BY THE SOFTWARE OR ITS AUTONOMOUS AGENT FEATURES
- ANY COSTS INCURRED THROUGH THIRD-PARTY API USAGE
- ANY DAMAGES EXCEEDING THE TOTAL AMOUNT PAID BY YOU FOR THE SOFTWARE (IF ANY)
THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE) AND EVEN IF THE DEVELOPER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12. Termination
12.1 By You
You may terminate this Agreement at any time by uninstalling the Software and deleting all copies from your devices.
12.2 By the Developer
The Developer may terminate this Agreement if you breach any of its terms. Upon termination, you must cease all use of the Software and delete all copies.
12.3 Survival
The following sections survive termination: Section 5 (Autonomous Agent Acknowledgment), Section 7 (Intellectual Property), Section 10 (No Warranty), Section 11 (Limitation of Liability), and Section 13 (Governing Law).
13. Governing Law
This Agreement shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes arising under this Agreement shall be resolved in the courts of the jurisdiction in which the Developer resides.
14. Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
15. Entire Agreement
This EULA, together with the Terms of Service, Privacy Policy, and any other legal documents referenced herein, constitutes the entire agreement between you and the Developer regarding the Software and supersedes all prior agreements and understandings.
